CONSTITUTION
AND BY-LAWS
OF
THE FRIENDS OF THE PULASKI COUNTY LIBRARY, INC.
2003 Updates & Revisions
ARTICLE I:
The name of this organization shall be THE FRIENDS OF THE PULASKI COUNTY
LIBRARY, INC., hereinafter referred to as THE FRIENDS.
ARTICLE II:
Section I: Purpose
The purpose of THE FRIENDS is
exclusively educational and charitable in
nature and is
To promote interest in the Pulaski County
Library System,
To educate the members and the community about
the services provided for them by the Library,
To support the library with voluntary efforts
and financial help wherein possible.
Section II: Policies
Shall be in harmony
with the policies established by the Pulaski County Library and with its Board
of Directors.
ARTICLE III:
MEMBERSHIP
Section I: Classes of Membership
All residents of Pulaski County and
those eligible to hold library cards in the Pulaski County Public Library System
are eligible for membership. Categories are: Individual, Family (husband, wife
or other adult members of the same household) Senior (65+), and Commercial.
ARTICLE IV: DUES
Section I: Annual Dues
Senior $5.00
Individual $7.50
Family $10.00
Commercial
$25.00
Section II: Payment
Membership will run from January to
January and upon receipt of payment to the Treasurer of THE FRIENDS, membership
will remain in good standing until the following January. Those members joining
in mid-year will pay the same dues as
those joining in January.
Section II: Refunds
No refund of dues will be made to members who leave Pulaski
County, Virginia. They
will still be considered members in good standing until the end of the year.
ARTICLE V: MEETINGS
Section I: Frequency
There will be at least one (1) general
meeting per year. The administrative year
will be from April 1 through March December 31.The Board of Directors shall meet
at least quarterly.
Section II: Special Meetings
Special meetings may be called by the Board of Directors
Section III: Notice of Meetings
All members shall be entitled to notice of all regular and
special meetings.
Section IV: Quorum
Quorum shall be recognized as those
members of THE FRIENDS who are present
at either the regular or special meetings.
Section V: Voting
Vote required-unless otherwise required by law or this
Constitution--on any action, may be taken by a majority vote of the members
present. No member shall vote by proxy. Only members in good standing are
entitled to a vote.
ARTICLE VI: OFFICERS
Section I: Personnel
The officers of THE FRIENDS shall be President, Vice-President, Secretary, and
Treasurer. The officers and committee chairpersons shall be considered as The
Board of Directors.
Section II: Nominations
The nominating committee named by The
Board of Directors shall present a single slate
of candidates, to be presented
and voted on at the annual meeting..
Section III: Terms of officers
Officers shall be elected for a two(2) year term with the term beginning in
April of the election year.
Section IV:
Vacancies
Vacancies may be filled temporarily by
the Board of Directors. A member shall fill a
vacancy until the next
election of a general slate of officers.
Section V: Duties of Officers
President: Shall preside at all
general and special meetings of THE FRIENDS; shall preside over all regular and
special Board meetings; shall be official representative, to the Pulaski County
Library Board; shall oversee all programs and projects of THE FRIENDS and keep
the staff of the Libraries informed of all such activities. The President will
be the official representative and spokesperson for THE FRIENDS. The President,
with The Board of Directors approval, may create or abolish committees. Only
upon resolution of a tie
vote, shall the President have an official vote.
Vice-President: Shall
assist the President in general supervision of THE FRIENDS; shall serve in an
executive capacity upon the absence of the President and shall be
responsible for publicizing the meetings.
Secretary: Shall take minutes of all general and Board meetings and be
responsible for
correspondence and sending articles to the local newspapers after each meeting.
Treasurer: Shall
keep and report accurate records of all financial transactions of THE FRIENDS
and shall notify members of dues.
ARTICLE
VII: BOARD OF DIRECTORS
Section I:
May consist of President,
Vice-President, Secretary, Treasurer and Standing Committee Chairpersons.
Section II:
Standing Committees may be Publicity,
Membership, Program, Nominating and Project.
ARTICLE
VIII: FISCAL POLICIES
Section I: Dissolution
In the event of dissolution of The FRIENDS OF THE PULASKI COUNTY LIBRARY, INC.
its assets, remaining after payment of all debts and liabilities, shall be
distributed to the Pulaski County Library System for a purpose to be determined
by the Library Board.
ARTICLE
IX: PROVISION FOR AMENDMENT
This Constitution shall be amended by a majority vote of the members present at
a general meeting of THE FRIENDS OF THE PULASKI COUNTY LIBRARY, INC.
HISTORICAL DATA:
The first meeting of the Friends of the Library, Inc. was held on September 5,
1979. The Charter was received and the by-laws were accepted on November 7,
1979. The current by-laws, as presented, include amendments which have been
previously adopted.
